Party B : Suzhou Industrial Park Talents Information Technology Co., LTD.

经甲乙双方协商签订本协议，协议条款如下：
Party A and Party B have agreed to enter into this agreement after negotiation regarding the membership of TALENTS NEW EXPRESS. Both parties agree the following terms ：

一、本协议签订后，甲方即成为人才新干线（以下简称网站）的正式招聘会员，有权使用网聘管理系统。
Party A will become the member of TALENTS NEW EXPRESS (named Website below) after this agreement is signed.

二、乙方承诺在服务期内（即本协议有效期内）为甲方提供以下服务：
Party B will provide service s below for Party A until the expiry date of this agreement:

1. 甲方在服务期内使用网聘管理系统可不限量在乙方的网站上发布招聘信息 ;
Party A can release unlimited recruiting information on the Website when using the website recruitment management system ;

2. 为甲方按网站统一格式制作、发布招聘网页，由甲方确认内容符合甲方需求 ;
Party B shall make and release the web pages of recruitment for Party A in line with the standard format of the Website and the content of the web pages will be confirmed by Party A;

3. 提供甲方发布在网站职位库中的信息给求职者浏览查询，不会无理由地设定连接障碍；
Job seekers can inquire and browse the recruiting information released by Party A; Party B shall not set any linking obstacle.

4. 乙方在网站上甲方的招聘信息显示页面，提供甲方地图位置查询；
Party B provides local search service map to locate the place of party A at the web page of recruitment of Party A.

5. 甲方可在网站企业信息发布栏发布本企业信息 ;
Party A can release the inf ormation of Party A in the enterprise-channel of the Website ;

6. 乙方为甲方在网站企业信息频道下建立企业网址链接 ;
Party B set link to the website of Party A at the enterprise-channel of the Website ;

7. 甲方可在网上提交甲方员工培训需求 ;
Party A c an submit the train ing demand of staffs of Party A on the Website ;

8. 甲方在网站中进行的一系列发布及查询服务均为使用网聘管理系统远程操作。甲方可远程查询人才库，并可获取 200 条记录以内的求职者联系方式的信息，供甲方直接与求职者联系。
The release of information and searching in talents pool are operated by Party A using the website recruitment management system at the user's end through internet connection. Party A can obtain maximum 200 contact information of the candidates recorded in the talents pool.

9. 乙 方 须妥善保管好甲方的用户名及密码，不得转借给其它的单位或个人使用。由于乙方保管用户名及密码不善或泄露数据库信息所带来的损失，由乙方承担 ;
Party B shall keep the user name and password confidential and not allowed to share it with other parties. Party B shall be held responsible for all the serious consequences arising from not keeping the user name and password well or letting out the information;

10. 乙方对双方合作中了解 的甲方信息承担保密责任；
Party B shall keep the information of Party A strictly confidential and not disclose it to any third party or use for its own benefit or for the benefit of any third party.

三、甲方承担以下义务：
Party A shall bear the responsibilities below ：

1. 须妥善保管好本单位的用户名及密码，不得转借给其它的单位或个人使用。由于甲方因故意或重大过失致保管用户名及密码不善或泄露数据库信息所带来的损失，由甲方承担 ;
Party A shall keep the user name and password well and do not share it with other parties. Party A shall release the information under its own name and show the full name to the public. Party A is not allowed to release any information for any other parties. Party A shall b e held responsible for all the serious consequences arising from not keeping the user name and password well or letting out the information;

2 . 甲方通过网站数据库所查询到的信息仅供甲方本单位招聘使用，不得透露给其它单位或个人使用或从事商业性用途（如劳务输出、人才交流中介等活动）。否则，乙方有权删除甲方的资料并无限期停止对甲方的服务。
Party A is not allowed to use the information from the talents database of the Website for business purpose (e.g. labor exporting, labor agency etc.), and share the information with any other companies, individuals. Otherwise, Party B keeps the right to delete the information of Party A and cease providing service for Party A.

3. 甲方发布信息必须公开甲方全称，不得替其它单位发布任何信息；
Party A shall release the information under its own complete and real name on the Website. Any information for other companies under Party A's name is not accepted.

4. 甲方应根据本单位的实际，提供正确无误的单位介绍资料及图片，保证在乙方网站上发布或链接所指向的信息资料的真实性、合法性、有效性，且不损害任何第三方的利益。否则，由此引发的法律纠纷及相应的法律责任皆由甲方解决和承担。如信息有变动，应及时通知乙方对网页内容进行修正，如因乙方信息更新不及时所带来的后果由乙方承担 ;
Party A shall provide real and accurate information including company introduction, logo and pictures, etc., guarantee the authenticity, legality and validity with the published information on the Website, as well as not risk the benefits of any third Party. Otherwise, Party A shall solve and respond to any disputation and law issues occurred. If there is any information altered, Party A shall notify Party B of updating the content of the website in time. Party B shall be responsible for the consequences if there is any delay after receiving Party A's notification.

四、协议生效后，乙方保证签约当天提供用户名及密码， 甲方须在签约日起二周内交清会员费。会员单位半年会员费为2800元，一年会员费为 4500 元。
Party B will offer user name and password to Party A within one day after the agreement becomes effective and Party A will be charged the membership fee of RMB4500 per year (RMB2800 half a year) within two weeks.

五、备注 ( Remarks) ：

1. 甲方在人才新干线中进行的一系列发布及查询服务均为远程操作；
The releasing and searching work that Party A does on Website shall be operated at the user's end through internet connection ；

2. 甲方如在招聘频道首页的热点招聘栏目中也进行招聘发布，价格优惠如下：400元/10天 ; 如果甲方在网站首页热门招聘栏目也进行招聘发布，价格优惠如下：600元/10天。
If Party A issuing the advertisement in Hot Recruitment on the homepage of Recruiting Channel of Website , The price is favored as 400 Yuan for 10 days; If Party A issuing the advertisement in Hot Positions on the homepage of Website , The price is favored as 600 Yuan for 10 days;

3. 甲方远程查询人才库如要获取200条以上求职者的联系方式，按人才新干线的网站服务频道“收费标准”一栏中所发布的《人才新干线服务收费标准》中的 "人才库查询会员" 相关条款处理。
If Party A wants to get contact information of more than 200 records in the talents pool, the charge for Party A shall be treat as that of “the member for searching talents pool“.

4. 甲乙双方在网站的所有活动，均应严守国家有关法律和职业道德，服从网站的管理。
Both Party A and Party B should manage the website information and abide law and professional ethics.

5. 本协议终止条件 （Termination of the agreement ） ：

(1) 本协议有效期期满，协议即行终止；
When the agreement expires, it is terminated at once ；

(2) 甲乙双方 任何一方在网站业务活动中违反国家有关法律和网站规定，另一方有权立即中止本协议；
If any party violates laws or regulation of the Website , the other party has the right to terminate the agreement ；

(3) 甲乙双方任意一方如有违反本协议中约定的权利及义务，另一方有权终止本协议；
If a ny party violates the right and obligation of this agreement, the other party has the right to terminate this agreement.

六、本协议服务有效期从 　年 　月 　日至　 年　 月　 日。
The validity period of this agreement is from　 (Date)　(Month)　 (Year) to 　(Date)　 (Month)　 (Year).

七、附则：
1. “人才新干线”网上法律声明为本协议不可分割之一部分，甲方在接受本协议的同时亦被认为接受该法律声明。
The Law Announcement on the Website is part of this agreement. Party A is assumed to accept the Law Announcement on the Website when accepting this agreement.

2. 本协议如有未尽事宜，甲乙双方应本着友好合作的原则协商解决。

3. 本协议一式两份，甲乙双方各执一份，经双方签字盖章后立即生效。
This agreement is signed in duplicate for both parties, effective on the date when stamped and signed.

乙 方: 苏州工业园区人才资讯科技有限公司

人才新干线（以下简称网站）是 乙方主办的专业人力资源网站，经甲乙双方协商一致，制定网站短期 招聘 广告发布协议如下：

一、甲方接受网站如下短期招聘广告发布服务内容及对应收费标准：

人才新干线短期招聘广告发布收费标准

二、根据甲乙双方协商的结果 ， 甲方选择发布下表中的服务

三、协议生效后，甲方须在三日内向乙方交清本协议广告发布费用 元人民币。

四、备注：

1 、甲方 应根据本单位的实际，发布切实有效的信息。如信息有变动，应及时通知乙方对网页内容进行修正。甲方不得替其它单位发布任何信息。由于提供内容有误所带来的后果由甲方承担。如因乙方信息更新不及时所带来的后果由乙方承担。
2 、本协议如有未尽事宜， 甲乙双方本着合作的态度协商解决。

五、本协议一式两份，甲乙双方各执一份，签字盖章后生效。

根据《中华人民共和国合同法》及国家有关规定，经当事双方商议一致，制定本协议如下：

人才新干线（以下简称网站）是乙方主办的专业人力资源网站，经甲乙双方协商一致，制定网站广告发布协议如下：
一、 甲方接受如下网站广告服务项目及收费标准：
注： 图标广告如不设链接或链接指向位置为本网站以外的网页，则按下表收费标准收费。如链接指向本网站网页，所指向的网页信息发布费用，按本网站收费标准相关内容另外收费。

A项服务：网站首页

B项服务：招聘信息频道

C项服务：其他页面顶部

D项服务：其他页面图标广告

二、甲乙双方履行如下权利及义务：

1、甲方选择的网站广告服务项目及相关信息如下表所列：

2 、此服务协议生效后，乙方按上表约定为甲方提供服务。甲方须在协议签订日起两周内，将相应服务费用付给乙方。
3 、网站广告图片的创意和制作由甲 方负责完成，并经由确认后由乙方进行发布；

三、 本协议如有未尽事宜，双方将本着友好合作的原则，协商解决。

四、 本协议一式两份，甲乙双方各执一份，签字盖章后生效。
