Party B : Suzhou Industrial Park Human Resources Development Co.,Ltd.

经甲乙双方协商签订本协议，协议条款如下：
Party A and Party B have agreed to enter into this agreement after negotiation regarding the membership of TALENTS NEW EXPRESS. Both parties agree the following terms：

一、本协议签订后，甲方即成为人才新干线（以下简称网站）的正式招聘会员。
Party A will become the member of TALENTS NEW EXPRESS (named Website below) after this agreement is signed.

二、乙方承诺在服务期内（即本协议有效期内）为甲方提供以下服务：
Party B will provide services below for Party A till the expiry date of this agreement:
1. 甲方在服务期内可不限量在乙方的网站上发布招聘信息;
Party A can release recruitment information unboundedly on the Website;
2. 为甲方按网站统一格式制作、发布招聘网页，由甲方确认内容符合甲方需求;
Party B must make the Web Pages of recruitment for Party A（Unify the form according to websites）; the content of the Web Pages will be confirmed by Party A;
3. 提供甲方发布在网站职位库中的信息给求职者查询及浏览，不会无理由地设定连接障碍；
Job hunters can inquire and browse the recruiting information released by Party A; Party B shall not set any linking obstacle.
4. 甲方可在网站企业信息发布栏发布本企业信息;
Party A can Issue the information of Party A in the enterprise-channel of the Web-site;
5. 乙方为甲方在网站企业信息频道下建立企业网址链接;
Party B links the website of Party A into the enterprise-channel of the Web-site;
6. 甲方可在网上提交甲方员工培训需求;
Party A can issue the training demand of Staffs of Party A;
7. 甲方可查询网站培训会员的培训学员信息;
Party A can inquire the Student's information of the training members of the Web-site;
8. 甲方在网站中进行的一系列发布及查询服务均为远程操作。甲方可远程查询人才库，并可获取200条记录以内的求职者联系方式的信息，供甲方直接与求职者联系。
The information release and talents databank enquiry are operated by Party A at the user’s end. Party A can obtain maximum 200 contact methods of the candidates recorded in the talents databank.
9. 乙方须妥善保管好甲方的用户名及密码，不得转借给其它的单位或个人使用。由于乙方保管用户名及密码不善或泄露数据库信息所带来的损失，由乙方承担;
Party B shall keep the user name and password confidential and not allowed to share it with other parties. Party B shall be held responsible for all the serious consequences arising from not keeping the user name and password well or letting out the information;
10.乙方对双方合作中了解的甲方信息承担保密责任；
Party B shall keep the information of Party strictly confidential and not disclose it to any third party or use for its own benefit or for the benefit of any third party.

三、甲方承担以下义务：
Party A should bear the responsibilities below：
1. 须妥善保管好本单位的用户名及密码，不得转借给其它的单位或个人使用。通过网站数据库所查询到的信息仅供会员单位使用，不得透露给其它单位或个人。甲方发布信息必须公开甲方全称，且不得替其它单位发布任何信息。由于甲方因故意或重大过失致保管用户名及密码不善或泄露数据库信息所带来的损失，由甲方承担;
Keep the user name and password well and not to share it with other parties. Not to share the information from the talents database of the Web site. Party A shall release the information in it’s own name and use the full name to the public. Party A is not allowed to release any information for other parties. Party A shall be held responsible for all the serious consequences arising from not keeping the user name and password well or letting out the information;
2. 甲方应根据本单位的实际，提供正确无误的单位介绍资料及图片，发布切实有效的信息。如信息有变动，应及时通知乙方对网页内容进行修正。由于提供内容有误所带来的后果由甲方承担。如因乙方信息更新不及时所带来的后果由乙方承担;
Party A provides accurate introduction information and pictures and release practical ads. Notice Party B to update the pages in time if there is new information that needs to be released. Be held responsible for the consequence arising from not supplying accurate information. And Party B will be held responsible for the consequence arising from not updating the information in time;

四、协议生效后，乙方保证签约当天提供用户名及密码，甲方须在签约日起二周内交清会员费。会员单位半年会员费为2500元，一年会员费为4000元。甲方如要享受协议第二款规定以外的服务，其服务收费金额按人才新干线的网站服务频道“收费标准”一栏中所发布的《人才新干线服务收费标准》执行。
Party B will offer user name and password to Party A within one day after the agreement becomes effective and Party A will be charged the member fee which is RMB4000 per year (RMB2500 half a year) within two weeks.If Party A wants services that are not listed in term B of this agreement, it will be charged according to the Charge Standards for Web-site.

五、备注 (Remarks) ：
1.甲方在人才新干线中进行的一系列发布及查询服务均为远程操作；
Issue and inquiry work that Party A does on Web-site operates long-rangy；
2.甲方如在招聘频道首页的热点招聘栏目中也进行招聘发布，价格优惠如下：400元/10天;
If Party A issuing the wanted advertisement in the focus of Recruitment on the homepage of Recruiting channel of Web-site, The price is favored as follows: 400 Yuan/10 days;
3.甲方远程查询人才库如要获取200条以上求职者的联系方式，按人才新干线的网站服务频道“收费标准”一栏中所发布的《人才新干线服务收费标准》中的"人才库查询会员"相关部分对待。
If Party A want to get contacting ways of more than 200 records in the talent bank from the long distance. The price is by" the member for inquiring the talent bank “ to treat.
4. 甲乙双方在网站的所有活动，均应严守国家有关法律和职业道德，服从网站的管理。
Both Party A and Party B should manage the website information and abide by law and the professional ethics.
5. 本协议终止条件（agreement stops terms）：
(1) 本协议有效期期满，协议即行终止；
The agreement term of validity expire, agreement is stopped at once；
(2)甲乙双方任何一方在网站业务活动中违反国家有关法律和网站规定，另一方有权立即中止本协议；
If any party violates national relevant laws and regulation of the Web-site, the other party has the right to stop agreement；
(3) 甲方不能按时交纳会费，乙方有权中止本协议；
Party A can't pay the membership dues on time, Party B has the right to
discontinue this agreement;
(4) 甲乙双方任意一方如有违反本协议中约定的权利及义务，另一方有权终止本协议；
If any side of Party A and Party B violates the right and obligation of this
agreement, Another party has the right to stop this agreement.

六、本协议有效期从 年 月 日至 年 月 日。
The validity period of this agreement is from (Date) (Month) (Year) to (Date) (Month) (Year).

七、本协议如有未尽事宜，甲乙双方应本着友好合作的原则协商解决。本协议一式两份，甲乙双方各执一份，签字盖章后生效。
Party A and Party B shall negotiate the unforeseeable issues friendly and cooperatively. This agreement is signed in duplication and is to be held by both parties. It will become effective on the date when stamped and signed.

经甲乙双方协商签订本协议，协议条款如下：

一、本协议签订后，甲方即成为人才新干线（以下简称网站）的正式培训会员。

二、乙方承诺为甲方提供以下服务：
1. 甲方在服务期内可不限量发布培训招生信息；
2. 乙方为甲方制作培训招生网页（按网站统一格式）；
3. 甲方可获取网站企业会员单位填写的培训需求；
4. 甲方可在培训频道培训单位新闻栏目中发布本单位的信息；
5. 甲方可在培训频道的培训讲师栏目中发布培训讲师介绍；
6. 甲方可在培训频道的培训单位栏目发布培训会员介绍；
7. 乙方为甲方在培训频道中的培训会员黄页栏目中进行培训会员单位网址的链接服务；
8. 甲方可将参与培训的学员信息输入乙方网站数据库，进行有效管理。

三、甲方承担以下义务：
1、 须妥善保管好本单位的用户名及密码，不得转借给其它的单位或个人使用。通过网站数据库所查询到的信息仅供会员单位使用，不得透露给其它单位或个人。甲方发布信息必须公开本单位全称，且不得替其它单位发布任何信息。由于会员单位保管用户名及密码不善或泄露数据库信息所带来的损失，由会员单位承担;
2、 应根据本单位的实际，提供正确无误的单位介绍资料及图片，发布切实有效的信息。如信息有变动，应及时通知乙方对网页内容进行修正。由于提供内容有误所带来的后果由甲方承担。如因乙方信息更新不及时所带来的后果由乙方承担;

四、协议生效后，乙方保证当天提供用户名及密码，甲方须在二周内交清会员费。会员单位半年会员费为3000元，一年会员费为5000元。甲方如要享受协议第三款规定以外的服务，其服务收费金额按人才新干线的网站服务频道"收费标准"一栏中所发布的《人才新干线服务收费标准》执行。

五、备注：
甲方在人才新干线中进行的一系列发布和查询服务均为远程操作；

六、本协议有效期从 年 月 日至 年 月 日。

七、本协议一式两份，甲乙双方各执一份，签字盖章后生效。

甲 方:

乙 方: 苏州工业园区人力资源开发有限公司

经甲乙双方协商签订本协议，协议条款如下：
一、本协议签订后，甲方即成为人才新干线（以下简称网站）的正式学校会员。

二、乙方承诺为甲方提供以下服务:
1. 甲方在服务期内可在学校信息频道中不限量发布毕业生信息及招生信息;
2. 甲方在服务期内可在招聘频道中不限量发布招聘信息，同时为发布的招聘内容负责;
3. 乙方为甲方制作招聘网页（按网站统一格式）;
4. 甲方发布的职位输入招聘职位库中，可供求职者查询及浏览；
5. 1)如甲方有自身网站，乙方可为甲方在网站学校信息频道中进行网址链接服务;
2)如甲方没有自身网站，乙方为甲方提供空间放置关于甲方的15页内介绍页面（甲方自行设计制作，交由乙方通过后由乙方为甲方放置）;
3)如甲方要求乙方为其制作网页，其服务收费金额按人才新干线的网站服务频道"收费标准"一栏中所发布的《人才新干线服务收费标准--网页制作收费标准》执行;
6. 动态了解会员学校在园区就业的毕业生信息；
7. 甲方在服务期内可在学校信息频道中不限量发布学校会员的各类信息。

三、甲方承担以下义务：
1、 须妥善保管好本单位的用户名及密码，不得转借给其它的单位或个人使用。通过网站数据库所查询到的信息仅供会员单位使用，不得透露给其它单位或个人。甲方发布信息必须公开本单位全称，且不得替其它单位发布任何信息。由于会员单位保管用户名及密码不善或泄露数据库信息所带来的损失，由会员单位承担;
2、 应根据本单位的实际，提供正确无误的单位介绍资料及图片，发布切实有效的信息。如信息有变动，应及时通知乙方对网页内容进行修正。由于提供内容有误所带来的后果由甲方承担。如因乙方信息更新不及时所带来的后果由乙方承担;

四、协议生效后，乙方保证当天提供用户名及密码，甲方须在两周内交清会员费。会员单位会员费为3000元人民币/年。甲方如要享受协议第三款规定以外的服务，其服务收费金额按人才新干线的网站服务频道"收费标准"一栏中所发布的《人才新干线服务收费标准》执行。

五、备注：
甲方在人才新干线中进行的一系列发布、查询和浏览服务均为远程操作；

六、本协议有效期从 年 月 日至 年 月 日。

七、本协议一式两份，甲乙双方各执一份，签字盖章后生效。

Party A will become the member for inquiring talent bank of TALENTS NEW EXPRESS (named Web-site below) after this agreement is signed.

二、乙方承诺为甲方提供以下服务：
Party B will provide services below free for Party A：
1、甲方可远程查询人才库，并可获取200条记录以内的求职者联系方式的信息，供甲方直接与求职者联系。
Party A can inquire about the talent bank from the long distance and can obtain no more than 200 contacts methods record.

三、甲方承担以下义务：
Party A should bear the responsibilities below：
须妥善保管好本单位的用户名及密码，不得转借给其它的单位或个人使用。通过网站数
据库所查询到的信息仅供会员单位使用，不得透露给其它单位或个人。由于会员单位保管用户名及密码不善或泄露数据库信息所带来的损失，由会员单位承担;
Keep the user name and password well and not to lend it to other parties. Not to share
the information from the talents database of the Web site. Be held responsible for all the serious consequences arising from not keeping the user name and password well or letting out the information;

四、协议生效后，乙方保证签约当天提供用户名及密码，甲方须在签约日起二日内交清会员费。会员单位费用为500元/200条。甲方如要享受协议第二款规定以外的服务，其服务收费金额按人才新干线的网站服务频道“收费标准”栏中所发布的《人才新干线服务收费标准》执行。
Party B will offer user name and password to Party A within one day after the agreement becomes effective and Party A will be charged the member fee which is RMB500/200 contacts way within two days. If Party A wants services that are not listed in term B of this agreement, it will be charged according to the Charge Standards for TALENTS NEW EXPRESS.

五、本协议终止条件（agreement stops terms）：
(1) 当甲方取得求职者联系方式满200条，协议即行终止；
If party A obtains 200 contact methods of the candidates recorded in the talents databank, the agreement will expire at once；
(2)甲乙双方任何一方在网站业务活动中违反国家有关法律和网站规定，另一方有权立即中止本协议；
If any party violates national relevant laws and regulation of the Web-site, the other party has the right to stop agreement；
(3) 甲方不能按时交纳会费，乙方有权中止本协议；
Party A can't pay the membership dues on time, Party B has the right to
discontinue this agreement;
(4) 甲乙双方任意一方如有违反本协议中约定的权利及义务，另一方有权终止本协议；
If any side of Party A and Party B violates the right and obligation of this
agreement, Another party has the right to stop this agreement.

六、本协议如有未尽事宜，甲乙双方应本着友好合作的原则协商解决。本协议一式两份，甲乙双方各执一份，签字盖章后生效。

根据《中华人民共和国合同法》及国家有关规定，经当事双方商议一致，制定本协议如下：

人才新干线（以下简称网站）是乙方主办的专业人力资源网站，经甲乙双方协商一致，制定网站广告发布协议如下：
一、甲方接受如下网站广告服务项目及收费标准：

A项服务：图标广告(网站首页)发布收费标准

注： 图标广告如不设链接或链接指向位置为本网站以外的网页，则按下表收费标准收费。如链接指向本网站网页，所指向的网页信息发布费用，按本网站收费标准相关内容另外收费。

B项服务：图标广告(除网站首页)发布收费标准

注：1、下表标明的为招聘信息频道、现场招聘频道首页报价，其它频道首页对应位置按此价格的一半收取。各频道次一级页面广告按该频道上一级页面对应位置广告的价格的一半收取。
2、图标广告如不设链接或链接指向位置为本网站以外的网页，则按下表收费标准收费。如链接指向本网站网页，所指向的网页信息发布费用，按本网站收费标准相关内容另外收费。
3、招聘信息频道首页按钮在2005年7月31日以前规格为113pixels*38pixels，之后为90pixels*30pixels。

C项服务：弹出窗口广告发布收费标准

D项服务：文字游动广告发布收费标准

E项服务：图标广告制作收费标准

F项服务：网页制作收费标准

二、甲乙双方履行如下权利及义务：
1、甲方选择的网站广告服务项目及相关信息如下表所列：

说明：(1) 服务项目编号：服务项目编号由大项加小类组成，如甲方选择B项第六类别服务，服务项目编号则为B6，以此类推。(2) 日期格式为Ⅹ年Ⅹ月Ⅹ日。(3)服务费金额：根据本协议第一款网站广告服务项目及收费标准计算。

2、此服务协议生效后，乙方按上表约定为甲方提供服务。甲方须在协议签订日起两周内，将相应服务费用付给乙方。

3、网站广告图片的创意和制作由方负责完成，并经由方确认后由乙方进行发布；
本协议如有未尽事宜，双方将本着友好合作的原则，协商解决。
本协议一式两份，甲乙双方各执一份，签字盖章后生效。
